Cohen’s career has spanned a variety of in-house and private legal practice positions. She began her career in private practice, and after spending time as an Associate General Counsel for CitiFinancial, Inc. and as an Associate in the Washington DC office of Reed Smith, LLP’s Financial Services Regulatory Group, she became Chief Counsel – Servicing and Administration for PNC Mortgage, a division of PNC Bank, NA.
Her focused has been primarily on regulatory and compliance matters related to originating and servicing residential mortgages, including product development, various types of licensing, Dodd-Frank Act, Federal Truth in Lending, Equal Credit Opportunity, Real Estate Settlement Procedures Act, Home Mortgage Disclosure Act, Fair Debt Collection Practices Act, Fair Credit Reporting Act, Bank Secrecy Act/Anti Money Laundering, Servicemember Civil Relief Act and related state laws.
She is currently Senior Director of MPF Policy and Legal Compliance with the Federal Home Loan Bank of Chicago. Cohen has a J.D. from the University of Baltimore and is licensed to practice law in Maryland, the District of Columbia and New York.

Mike Flynn

Mike Flynn is a partner in Goodwin’s Financial Industry, Banking, Consumer Financial Services and FinTech practices. Flynn applies his unique background as an in-house senior legal executive in major financial institutions coupled with his government experience in banking and in mortgage and other consumer financial services, to advise clients on matters concerning compliance and legal operational issues, secondary market and other transactions, and regulatory enforcement. He works on matters related to federal and state consumer protection laws (including TILA, RESPA, HDMA, FACTA/FCRA and FDCPA), FHA and GSE issues, as well as matters involving fair lending and community reinvestment, and practice before federal and state regulatory agencies, including the Consumer Financial Protection Bureau and the Office of the Comptroller of the Currency.
Flynn has more than 25 years’ experience in the financial services industry, with particular expertise in the consumer finance sector. He has held senior leadership and management roles for public banking entities, as well as for law firms and federal regulatory agencies, including service as Acting General Counsel for the U.S. Department of Housing and Urban Development and as General Counsel of both Flagstar Bank and PNC Mortgage.

Jeffrey Rodgers

Rodgers has 20 years of significant experience providing legal support and advice to consumer finance companies, mortgage lenders and national banks. Since 2005, his focus has been primarily on mortgage banking, specifically on the originations/production side of the industry. He serves as a key risk partner to senior and executive internal business leaders as well as a liaison with service providers, regulatory agencies and investors.
In addition to heading a group of four lawyers and three paralegals, Rodgers provides legal advice on matters concerning RESPA, TILA, ECOA, SAFE, FCRA, HMDA, and all implementing regulations as well as the National Flood Act, third-party service provider oversight guidance, appraisal and valuation rules, and state lending and licensing laws. He is a Fellow of the American College of Consumer Financial Services Lawyers and, after two years as a Co-Vice Chair, recently was named the Chair of the Truth in Lending Subcommittee of the Consumer Financial Services Committee of the American Bar Association.
Rodgers has been with Flagstar since 2013. Prior employment includes Washington Mutual FA, CitiFinancial, Bank of America, PNC Bank and CoreLogic.
